Anthropic IPO filing discloses first-of-its-kind governance structure

Anthropic’s seven co-founders will control the company through one golden share of supervoting stock, giving the first-of-its-kind listing a novel governance structure to match. Even early investors Amazon and Google only have nonvoting stock, while a separate council of “financially disinterested trustees with expertise in AI safety” will choose most of its board. Fittingly, Anthropic’s filing devoted 94 of its 318 pages to AI risk and suggested that the entire insurance industry may not have the capacity to underwrite the risk of one “catastrophic AI related incident.” It’s “ an unusually candid warning ” to investors, Axios noted, with Anthropic’s co-founders suggesting they may “choose to advance more slowly… even if that puts us at a competitive disadvantage.” — Brendan Ruberry
