Anthropic’s pending IPO will give founders 50.1% of general shareholder votes, while a separate trust would choose most directors. AI developer Anthropic filed for an initial public offering on October 26 that would let public investors buy shares while its seven founders held majority voting power. A company formed by the founders would hold one special share carrying 50.1% of general shareholder votes, without a claim on Anthropic’s financial value. The proposed Founder LLC would initially comprise CEO Dario Amodei, President Daniela Amodei and five other co-founders. Under the proposed control structure, the separate Long-Term Benefit Trust would elect and remove most directors. The founder bloc would control elections for the remaining seats. Anthropic had already been preparing investor meetings ahead of a possible IPO in July.
